1. Agreement to Terms

These Terms of Service ("Terms") govern access to and use of Hailey's AI customer service platform, including the AI receptionist, AI chatbot, lead response, and related modules (collectively, the "Service"), provided by Hailey ("Hailey," "we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms. If you are using the Service on behalf of a business, you represent that you have authority to bind that business to these Terms.

2. The Service

Hailey provides AI-powered customer service software that answers phone calls, chats with customers on your website and messaging channels, and follows up on leads on your behalf, based on configuration and business information you provide. Features vary by plan and may change as we improve the Service.

3. Accounts & Responsibilities

You are responsible for the accuracy of the business information, scripts, and rules you configure Hailey to use, and for maintaining the confidentiality of your account credentials. You are responsible for all activity that occurs under your account.

4. Acceptable Use

You agree not to use the Service to violate applicable law, transmit unlawful, deceptive, or harmful content, infringe third-party rights, or interfere with the security or proper functioning of the Service.

5. Fees & Billing

Paid plans are billed at the flat monthly rate agreed at sign-up, based on your selected plan and usage tier. Fees are non-refundable except as required by law or expressly stated in your order form. We will provide notice before any material change to pricing on your plan.

6. Intellectual Property

Hailey retains all rights, title, and interest in the Service, including its software, models, and branding. You retain ownership of the business content and data you provide to configure and operate the Service.

7. Disclaimers

The Service is provided "as is." While Hailey is built to handle calls, chats, and follow-up accurately, AI-generated responses may occasionally be incorrect or incomplete. You are responsible for reviewing configuration and escalation rules appropriate to your business.

8. Limitation of Liability

To the maximum extent permitted by law, Hailey will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits or revenues, arising from your use of the Service.

9. Termination

Either party may terminate the Service as described in your order form or, absent one, with 30 days' written notice. We may suspend the Service immediately for a material breach of these Terms or a legal or security risk.

10. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will provide reasonable notice before they take effect. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
